Who you contract
One contract, one invoice. You contract Dazzle, not each individual expert.
Legal entityDazzle Platform B.V., a private limited company under Dutch law
Chamber of Commerce (KvK)90240294
VAT numberNL865253055B01
AddressTweede Jan van der Heijdenstraat 103A, 1074 XT Amsterdam, the Netherlands
InvoicingOne contract and one invoice from Dazzle, also when several experts work on your project. You pay Dazzle, never the expert directly
Invoicing emailfinance@dazzle-platform.com
Payment term14 days from receipt of a valid invoice
When we invoiceFixed project: 50% after the kick-off and 50% after delivery. Project in tranches: 50% at the start and 50% on completion of each tranche. Hourly assignment: monthly, based on the timesheets you approve. Hours are never charged for sickness or holidays
PricesIn euros, excluding 21% VAT where applicable. Extra work is only invoiced after you confirm it in writing
Purchase ordersShare the name and email address of whoever processes supplier invoices, plus a PO number or supplier registration if your organisation works with one. We add it to your record, so the first invoice reaches the right inbox

How the contract works
Every assignment starts with a tailored proposal you approve. No fixed price lists.
StructureOur terms and conditions set the general relationship. Each assignment is a separate agreement, formed when you accept our proposal in writing
The proposalScope, actions and deliverables, project logistics, timeline and investment. Valid for 60 days. You e-sign the pricing slide and we start the agreement with your expert the same day
Three formatsA fixed project, a project in tranches with milestones, or an hourly assignment when the scope cannot be fixed in advance. Every assignment has a start and an end date
RatesExperts set their own rates. Dazzle negotiates on your behalf
Expert statusExperts are independent entrepreneurs, contracted by Dazzle under a service agreement (article 7:400 of the Dutch Civil Code). Not employment and not agency work. If a court or tax authority ever decides otherwise, Dazzle indemnifies you, unless it results from your own actions
How experts workIndependently, with their own tools, remotely unless agreed otherwise. You give direction on the outcome, not on how the work is done
Deliverables and IPIntellectual property created during the work belongs to you. Existing IP stays with its owner. We keep a copy of the signed contracts and the deliverables in your client folder, so a follow-up project does not start from scratch
Changes to scopeYour expert flags a shift as soon as they see it. Extra work, more capacity or an extension is confirmed in writing before the work continues, so a change never turns up as a surprise on an invoice
Ending earlyFixed project: only if the work is faulty and cannot be repaired. Project in tranches: after a completed tranche, with 2 weeks' notice. Hourly: by either party, with 1 month's notice
Cancelling before the startYou pay only the costs already made, with a minimum of EUR 500 excluding VAT
Feedback on deliverablesReport a shortcoming in writing within 14 days of delivery, or within 7 days of finding it. Your expert then gets the chance to fix it
Non-solicitationFor 12 months after an assignment ends, you do not hire the experts involved directly, unless agreed in writing. A penalty clause applies (article 16 of our terms)
Law and disputesDutch law. We first try to settle any dispute together. After 60 days, the court in Amsterdam decides
3
Liability and insurance
What is covered if something goes wrong.
Type of obligationBest efforts, unless your agreement sets a specific result
Liability capDirect damage only, up to the lower of twice the invoice amount of the agreement or EUR 10,000. No liability for indirect damage such as lost profit or business interruption
Force majeureIf force majeure lasts 60 days or longer, either party may end the agreement in writing
4
GDPR and confidentiality
Your data and your information stay protected.
ConfidentialityMutual. It covers everything either party shares, marked confidential or not, and continues after the agreement ends
Expert confidentialityEvery expert is contractually bound to protect your confidential information
NDAWant extra certainty? You can sign an additional NDA directly with your expert
Personal dataDazzle processes personal data only for your agreement and in line with the GDPR. Details are in our privacy policy
DocumentationKey assumptions, methods and decisions are documented, so the output holds up later when an auditor or a customer asks how you got there
5
If an expert becomes unavailable
You hire Dazzle, not just a freelancer. That is the safety net.
HolidaysHolidays are agreed at the kick-off and built into the planning
Longer absenceIf your expert is unexpectedly out for longer than 2 weeks, you choose: we propose a replacement, or the planning shifts
If no replacement is possibleIf your expert cannot finish and no replacement can be found, either party may end the agreement
If something gets stuckMissing capacity, a delay, doubts about quality or a difficult collaboration: tell Robert, and he picks it up with you and your expert
HandoverEvery engagement ends with documented work and a proper handover, so the knowledge stays in your team
Your contactRobert Smith, Founder and CEO, is your contact at Dazzle for scope, invoicing and any change in the team, for as long as you work with Dazzle
6
What happens after you sign
Four steps between your sign-off and the kick-off call. Three of them need something from you.
Step 1. Sign the proposalYou e-sign the pricing slide. We start the agreement with your expert the same day
Step 2. Book the kick-offYou send 2 or 3 slots. Robert schedules the call with you and your expert
Step 3. Set us up as a supplierYou share your invoice contact, plus a PO number or supplier registration if you use one
Step 4. We sign with your expertNothing needed from you. Your expert can start on the day of the kick-off
The kick-off call30 to 60 minutes, online, led by your expert. From then on, the project runs between you and your expert directly
